Ratio Staffing User Agreement

Effective Date: August 5, 2025

This User Agreement ("Agreement") governs your use of the website, services, and platform provided by Ratio Staffing Substitute Teachers LLC ("Ratio Staffing," "Company," "we," "us," or "our") through https://ratiostaffing.com ("Site" or "Platform").

By accessing or using the Site, you agree to be bound by all terms of this Agreement. If you do not agree to these terms, do not use the Site.

Section A: General Terms for All Users

1. Eligibility and Account Creation

  • You must be at least 18 years old and legally able to enter into binding contracts

  • You must provide accurate, complete, and current information during registration

  • You are responsible for maintaining the confidentiality of your account credentials

  • You must notify us immediately of any unauthorized use of your account

  • One person may maintain only one active account unless specifically authorized by us

2. Acceptable Use Policy

You agree NOT to:

  • Provide false, misleading, or inaccurate information

  • Impersonate any person or entity

  • Use automated tools to scrape, harvest, or collect data from the Site

  • Post illegal, harmful, threatening, abusive, defamatory, or discriminatory content

  • Violate any applicable laws or regulations

  • Interfere with or disrupt the Site's functionality

  • Attempt to gain unauthorized access to our systems

  • Use the Platform for any purpose other than legitimate educational staffing

3. Intellectual Property Rights

  • The Platform, including all software, content, trademarks, and proprietary technology, is owned by Ratio Staffing

  • You are granted a limited, non-exclusive, non-transferable license to use the Platform

  • You retain ownership of content you upload but grant us a worldwide, royalty-free license to use, display, and distribute such content for Platform purposes

  • You may not reverse engineer, modify, or create derivative works of our Platform

4. User-Generated Content

  • You are solely responsible for content you upload or submit

  • You represent that you have the right to share all submitted content

  • You warrant that your content does not violate any third-party rights

  • We reserve the right to remove any content that violates this Agreement

  • You agree not to upload sensitive personal information (SSNs, financial data, medical records)

5. Privacy and Data Protection

  • Your use of the Platform is subject to our Privacy Policy

  • We may collect and analyze usage data for Platform improvement and analytics

  • You consent to background checks and verification processes as applicable to staffing services

  • All communication through the Platform may be monitored for quality and compliance

6. Platform Availability and Modifications

  • We provide the Platform on an "as-is" and "as-available" basis

  • We do not guarantee uninterrupted or error-free service

  • We reserve the right to modify, suspend, or discontinue the Platform at any time

  • We may perform maintenance that temporarily limits Platform functionality

7. Fees and Payment Terms

  • Current fee schedules are available on our website

  • All fees are non-refundable unless specifically stated otherwise

  • You authorize us to charge payment methods on file for applicable fees

  • Failure to pay fees may result in account suspension or termination

  • We reserve the right to change fees with 30 days' notice

Section B: Terms for Educational Institutions and Employers

1. Employer Account Requirements

  • You must be authorized to bind your organization to this Agreement

  • You must comply with all applicable employment and education laws

  • You are responsible for verifying that all job postings are accurate and legal

  • You warrant that you have proper licensing and accreditation to operate as an educational institution

2. Hiring and Employment Relationship

  • Ratio Staffing is NOT the employer of placed educators

  • You are solely responsible for all employment decisions, including hiring, compensation, supervision, and termination

  • You must comply with all applicable employment laws, including but not limited to:

    • Fair Labor Standards Act

    • Equal Employment Opportunity laws

    • State and local employment regulations

    • Background check and child protection requirements

  • You are responsible for workers' compensation, unemployment insurance, and tax withholdings

  • All employment contracts are between you and the educator

3. Background Checks and Screening

  • You are solely responsible for conducting appropriate background checks

  • We may facilitate background check services but make no warranties about their accuracy or completeness

  • You must independently verify all educator credentials and qualifications

  • You assume all liability for hiring decisions and educator conduct

4. Shared Administrative Accounts

  • Account administrators may add users and assign permissions

  • You are fully responsible for all actions taken by users with access to your account

  • You must immediately revoke access for terminated employees

  • You must ensure all users comply with this Agreement

5. Job Postings and Content

  • All job postings must be accurate, complete, and comply with applicable laws

  • You may not post discriminatory, misleading, or illegal content

  • You warrant that you have authority to post positions and make hiring decisions

  • We reserve the right to remove or modify job postings that violate our policies

Section C: Terms for Educators

1. Profile Creation and Management

  • You control the visibility and content of your educator profile

  • You must maintain accurate and current profile information

  • You may not upload confidential documents, background check results, or government-issued identification

  • You are responsible for ensuring your profile complies with professional standards

2. Job Applications and Placement

  • You may browse and apply for positions at your discretion

  • We do not guarantee job placement, interviews, or hiring outcomes

  • All employment relationships are directly between you and the hiring institution

  • You are responsible for negotiating terms of employment

  • You must comply with all professional and ethical standards required by educational institutions

3. Professional Conduct

  • You must maintain appropriate professional conduct in all Platform interactions

  • You agree to fulfill all commitments made to educational institutions

  • You must notify institutions promptly of any scheduling conflicts or changes

  • Failure to appear for confirmed assignments may result in account suspension

4. Recommendations and Matching

  • We may suggest job opportunities based on your profile and preferences

  • All suggestions are provided for informational purposes only

  • You are solely responsible for evaluating the suitability of any position

  • We make no representations about the accuracy of job suggestions

Section D: Legal Provisions and Risk Allocation

1. Disclaimers and Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement

  • That the Platform will be uninterrupted, secure, or error-free

  • The accuracy, reliability, or completeness of any content or information

  • That any defects will be corrected or that the Platform is free of viruses

2. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability for any claims arising from this Agreement shall not exceed $1,000 or the fees paid by you in the 12 months preceding the claim, whichever is greater

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages

  • We are not liable for any damages arising from:

    • Employment decisions or workplace incidents

    • Educator misconduct or performance issues

    • Loss of business, profits, or opportunities

    • Data breaches or security incidents beyond our reasonable control

    • Third-party actions or content

3. Indemnification

You agree to indemnify, defend, and hold harmless Ratio Staffing, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from or relating to:

  • Your use of the Platform or violation of this Agreement

  • Your content or conduct on the Platform

  • Employment relationships and workplace incidents

  • Your violation of any third-party rights

  • Any false or misleading information you provide

4. Dispute Resolution and Arbitration

MANDATORY ARBITRATION: All disputes arising from or relating to this Agreement or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in San Francisco, California and governed by California law.

CLASS ACTION WAIVER: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only and not as part of a class, consolidated, or representative action.

Exception: Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.

5. Force Majeure

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or technical failures.

6. Termination

We may suspend or terminate your account immediately for (but not limited to):

  • Violation of this Agreement or our policies

  • Providing false or misleading information

  • Harmful or inappropriate behavior

  • Non-payment of fees

  • Missed assignments or professional misconduct (for educators)

  • Legal or regulatory violations

Upon termination:

  • Your right to use the Platform ceases immediately

  • We may delete your account and associated data

  • Outstanding obligations survive termination

  • You remain liable for any damages or claims arising before termination

7. Data Protection and Compliance

  • We comply with applicable data protection laws including GDPR, CCPA, and FERPA where applicable

  • Educational institutions must ensure compliance with student privacy laws

  • All parties must comply with applicable employment and education regulations

  • Cross-border data transfers are subject to appropriate safeguards

8. Modifications to Agreement

We may modify this Agreement at any time by:

  • Posting the updated Agreement on the Platform

  • Sending notice to your registered email address

  • Providing 30 days' notice for material changes affecting fees or dispute resolution

Continued use of the Platform after modifications constitutes acceptance of the updated Agreement.

9. Severability and Entire Agreement

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Ratio Staffing regarding the Platform.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of California, without regard to conflict of law principles. Any court proceedings not subject to arbitration shall be conducted in San Francisco County, California courts.

11. Assignment

You may not assign or transfer your rights under this Agreement without our written consent. We may assign this Agreement to any affiliate or successor entity.

By using the Ratio Staffing Platform, you acknowledge that you have read, understood, and agree to be bound by this User Agreement.
